Additional Terms and Conditions
The following additional terms and conditions are specific to the TruCISO marketplace:
1. Introduction
Welcome to TruCISO. These Terms of Service govern your use of the TruCISO marketplace, website, and services (collectively, the "Platform") operated by Keshet Global Pte. Ltd., a Singaporean entity. By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy.
2. Nature of the Platform & Relationship of Parties
(i) The Platform operates as an online marketplace that facilitates the connection between Clients and independent Cybersecurity Advisors/vCISOs ("Service Providers"). You acknowledge and agree that: (a) The Platform is not a party to any service agreement or contract entered into between the Client and the Service Provider. (b) The Platform does not provide cybersecurity advisory services, nor does it employ the Service Providers. (c) The Platform's role is strictly limited to facilitating availability of the Site, curating the marketplace, and acting as a limited payment collection agent for the Service Provider. (ii) Service Providers are independent business entities or contractors, not employees, partners, agents, or joint venturers of The Platform. The Platform has no authority to control the manner, method, or means by which the Service Provider performs the services, nor does it control the professional judgment of the Service Provider. (iii) Given the specialized nature of cybersecurity services, The Platform explicitly disclaims all liability for the advice, reports, audits, or technical implementation provided by Service Providers. (a) Any advice given is solely the responsibility of the Service Provider. (b) The Platform makes no warranty, guarantee, or representation regarding the accuracy, quality, or effectiveness of the services rendered. (c) Clients engage Service Providers at their own risk and are responsible for their own due diligence. (iv) Each Service Provider appoints The Platform as its limited payment collection agent solely for the purpose of accepting funds from Clients. (a) Payment made by a Client to The Platform shall be considered the same as payment made directly to the Service Provider. (b) The Service Provider agrees to provide the agreed services to the Client upon The Platform’s receipt of payment, regardless of whether the funds have yet been settled to the Service Provider.
3. User Accounts
To use most features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account. We may monitor and record messages sent via our platform for fraud prevention, safety, and quality assurance purposes.
4. Agreements Between Clients and vCISOs
When a Client engages a vCISO, they enter into a direct contractual relationship. The Client Service Agreement and any other terms agreed upon between the Client and vCISO govern that relationship. TruCISO is not responsible for the performance or conduct of any user.
5. Fees and Payment
Clients will pay the fees for Services as agreed upon with the vCISO. TruCISO may charge a service fee for the use of the Platform, which will be clearly disclosed to you. All payments are processed through a third-party payment provider.
6. Intellectual Property
The Platform and its original content, features, and functionality are and will remain the exclusive property of Keshet Global Pte. Ltd. The work product and deliverables created by a vCISO for a Client are owned by the Client upon full payment, as detailed in the Client Service Agreement.
7.Nature of the Platform & Relationship of Parties
The Platform is provided "as is" without warranty of any kind. We do not guarantee the quality, suitability, or legality of any services provided by vCISOs. To the fullest extent permitted by law, TruCISO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
